Patrick R. Sughroue, Esq.

Founder and the principal of Patrick R. Sughroue P.C.  Mr. Sughroue has served as legal counsel and
business advisor since 1983 in connection with over $1 billion in public and private securities, capitalization,
finance, merger, acquisition and consolidation transactions with primary emphasis in the energy and real
estate industries as well as with emerging stage and technology-based companies.  

Mr. Sughroue maintains an alternative dispute resolution practice (arbitration and mediation) for securities,
financial and business disputes.  He serves on the FINRA Board of Arbitrators.  Mr. Sughroue has published
and lectured on a variety of topics including securities law, business organizations, energy investment,
venture capital, and taxation.  Mr. Sughroue received his Juris Doctor degree in 1983 from Wayne State
University Law School (magna cum laude) and his Bachelor of Arts Degree in Business Finance from The
University of Notre Dame in 1980 (magna cum laude).  
Representative Engagements:

From 1990 through 2001, Mr. Sughroue served as outside general counsel managing capitalization, project finance and acquisitions for a
several public and private oil and gas firms.  He has advised businesses from start-up through private financed-growth, initial public offering,
partnership rollup, secondary offerings and ultimate merger or disposition transactions.

From 1990 through 1995, Sughroue represented an independent due diligence firm and conducted legal and technical due diligence on
numerous oil and gas investment programs nationally marketed by securities broker-dealers.

From 1996–2001, Mr. Sughroue served as general counsel to SEC-appointed conservator in SEC enforcement action Securities Exchange
Commission v. Basic Energy and Affiliated Resources, Inc., et al.  Advised and implemented system to identify, marshal and manage divergent
oil and gas and financial assets; liquidated assets on a competitive bid basis in Federal Court (E.D. Mich.); and devised and implemented
system to process and resolve investor claims for victims of a multi-million dollar Ponzi scheme.

From 2002 through present, Mr. Sughroue has managed the formation, funding, asset acquisition and divestiture and investment
management of three (3) private equity funds (totaling approximately $13 million), each of which invested in direct ownership of producing and
non-producing oil and gas royalties and minerals.  

From approximately 2003-2008 Mr. Sughroue has worked with a “steering group” of energy industry, risk management and legal
professionals in an effort to develop and commercialize real estate title insurance for oil, gas and other mineral interests.

From approximately 2005-2008, Mr. Sughroue provided legal counsel to a private investment group in connection with the organization,
capitalization, development and liquidation of a number of ethanol production facilities.  

From approximately 2008-2014, Mr. Sughroue has served as general legal counsel and business advisor to a Colorado-based firm which has
developed, capitalized and operated an environmentally favorable commercial produced water disposal and recycle technology and facility in
the Piceance Basin of northwest Colorado.  

In 2010, Mr. Sughroue, together with renowned international shoe designer and developer Roy Hayes, co-founded Roy Hayes Studio, Inc. an
international shoe design, development and distribution company which began private labeling international “made-to-order” business and
eventually developed and launched the Roy Hayes Studio® brand on its own e-commerce platform and as a “Prime
& Exclusives” vendor on  

In 1985 Mr. Sughroue co-founded  Venture Capital Resources, Inc., a Michigan non-profit corporation, engaged in the computerized matching
of entrepreneurs and emerging businesses with venture capital investors (Grand Rapids, Michigan; 1985); Procured a necessary no-action
letter from the Securities Exchange Commission which allowed formation and operation of the company.

From 1994–present Mr. Sughroue has served as a FINRA arbitrator and chairperson on several dozen cases.

Currently, Mr. Sughroue is providing legal, business and capitalization counsel to a number of early-stage technology firms.
